Terms and Conditions
By subscribing to our services the company or person you represent ("client") entering a binding contract with Tanason Web Design ("TWD") therefore agree that you fully understand and agree with the following terms and conditions of this contract.
We will always do our best to fulfill your needs and meet your goals, but sometimes it's best to have a few things written down so that we both know what's what, who should do what and what happens if things goes wrong. In this contract you won't find complicated legal terms or long passages of unreadable text. We have no desire to trick you into signing something that you might later regret. We do want what's best for the safety of both parties, now and in the future.
2. What do both parties agree to do?
As our customer, you have the power and ability to enter into this contract on behalf of your company or organization. You agree to provide us with everything that we'll need to complete the project — including text, images and other information — as and when we need it and in the format we ask for. You agree to review our work, provide feedback and approval in a timely manner too. Deadlines work two ways and you'll also be bound by any dates that we set together. You also agree to stick to the payment schedule set out at the end of this contract.
We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will endeavor to meet all the deadlines set but we can't be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. On top of this we'll also maintain the confidentiality of any information that you give us.
We'll create designs for the look-and-feel, layout and functionality of your web site. This contract includes one main design plus the opportunity for you to make up to two rounds of revisions. If you're not happy with the designs at this stage (before launching the website), you will pay us in full for all of the work that we have produced until that point at our regular daily rate and you may either cancel this contract or continue to commission us to make further design revisions at our regular daily rate of $200 ($25/hrs x 8 hour / day).
4. Text content
We may have written a best-seller but we're not responsible for writing or inputting any text copy unless we have agreed otherwise in a verbal or written agreement. We'll be happy to help you, and in addition to the subscription fee we will charge you at $25 per hour for copy writing or content input.
You can use our services at our pre set prices or you can supply us photographs either in digital or printed format. If you choose to buy stock photographs we can suggest vendors of stock photography.
6.a) You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the web site are either owned by yourself (or the company you are representing), or that you have permission to use them.
6.b) If you choose to purchase the website after the ETP (Early Termination Period), copyright is automatically assigned as follows:
6.c) You own the graphics and other visual elements that we create for you for this project. We'll give you a copy of all files and you should store them really safely as we are not required to keep them or provide any native source files we used to make them.
6.d) You also own text content, photographs and other data you provided, unless someone else owns them. We own the markup, CSS and other code and we license it to you for use on only this project.
6.e) We love to show off our work and share what we have learned with other people, so we reserve the right to display and link to your completed project as part of our portfolio and to write about the project on web sites, in magazine articles and in books about web design.
6.f) This contract is not transferrable to any third party without our previous permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious and this contract is a legal document under exclusive jurisdiction of the United States courts.
7.a) When the client subscribes to any of our service it will render a job on our half therefore we are requiring a minimum of 6 months of subscription (ETP - Early Termination Period). If said subscription would be cancelled or unpaid at any time within the first 6 months the client required to pay an early termination fee (ETF) in the amount of $3,000 and the legal fees associated with the collection of said amount if any.
7.b) Once the subscription is submitted the development of clients website will start and will be completed as soon as resources allow us and the client expresses he's or her's satisfaction. The development typically will take no more than 30 days from the date of subscription but in most cases it is less than 15 days.
8. Hosting, service and liability
8.a) Tanason Web Design nor it's owner or employees has no control or ownership over the physical servers or software used to create or host it's websites therefore can not be held responsible for any outage or loss of service.
We can't guarantee that the functions contained in any web page templates or in a completed web site will always be error-free and so we can't be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this web site and any other web pages, even if you have advised us of the possibilities of such damages.
8.b) If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
9. Ownership of website
9.a) As a part of our service TWD supplies the domain (website URL) and some of the following: images, graphics, logos, other artwork and written content; therefore the ownership of aforementioned stays in the ownership of TWD at all times. In the event of the cancellation of service TWD reserving the right to reuse and/or sell the aforementioned properties for an amount determined by TWD.
For monthly billing cycles, recurring payments are collected on the same day of the month. If the initial recurring payment falls on the 31st, PayPal eventually adjusts the billing cycle to the 1st of the month. If the initial recurring payment falls on the 29th or 30th, PayPal adjusts the billing cycle to the 1st of the month on the following February.
When Monthly Recurring Payments Are Due and Collected on the 31st
(the subscriber signs up on Thursday, July 31.)
The subscriber is billed as follows:
- Thursday, July 31
- Saturday, August 31
- Wednesday, October 1
- Saturday, November 1
- and so on...
When Monthly Recurring Payments Are Due and Collected on the 30th
(the subscriber signs up on Tuesday, December 30.)
The subscriber is billed as follows:
- Tuesday, December 30
- Friday, January 30
- Sunday, March 1
- Wednesday, April 1
- and so on...
